These Terms and Conditions govern your access to and use of www.digikart.ae, including any purchase, quotation request, account registration, communication, or transaction made through the website.

DigiKart is operated by Smart Power Computers Trading LLC, referred to in these Terms and Conditions as “DigiKart,” “we,” “us,” or “our.”

The words “you,” “your,” or “customer” refer to any individual, company, organisation, or other legal entity accessing the website or purchasing products or services from us.

By visiting our website, creating an account, requesting a quotation, submitting an order, or purchasing from DigiKart, you agree to these Terms and Conditions.

Please read them carefully before using the website.

1. About DigiKart

DigiKart is a B2B supplier of business hardware, electronics, conferencing equipment, office technology, IT products, and enterprise solutions in the United Arab Emirates.

Although our services are primarily intended for businesses, we may also accept orders from individual customers where appropriate.

Additional terms contained in a written quotation, purchase order acceptance, commercial agreement, product listing, invoice, warranty document, or service agreement may apply to a particular transaction.

If there is a conflict between these Terms and Conditions and a written agreement signed or expressly accepted by DigiKart, the written agreement will apply to the extent of that conflict.

2. Eligibility to Use the Website

By using this website or placing an order, you confirm that:

  • You are at least 18 years old

  • You have the legal capacity to enter into a binding agreement

  • The information you provide is complete and accurate

  • You are authorised to make purchases on behalf of your company where applicable

  • You will use the website only for lawful purposes

We may refuse service, restrict account access, cancel an order, or suspend a transaction where we reasonably believe that fraud, misuse, unauthorised activity, or a violation of these Terms has occurred.

3. Customer Accounts

  • Colours may appear differently depending on your screen or device

  • Packaging may change without notice

  • Manufacturers may update product specifications or designs

  • Minor differences may exist between displayed images and delivered products

  • Product descriptions may contain unintentional errors or omissions

Customers are responsible for reviewing product specifications before purchasing.

For technical products, you should confirm compatibility with your existing equipment, software, network, meeting-room setup, operating environment, power requirements, and intended use.

Contact us before ordering if you require assistance confirming compatibility.

5. Product Availability

All products are subject to availability.

Displaying a product on the website does not guarantee that it is currently in stock or available in the quantity requested.

Some products may be:

  • Available from local stock

  • Supplied to order

  • Subject to manufacturer or distributor availability

  • Discontinued or replaced by a newer model

  • Subject to minimum-order quantities

  • Subject to extended delivery times

We may limit quantities, discontinue products, or decline an order where stock is unavailable.

If an ordered product becomes unavailable after payment, we may offer:

  • A refund for the unavailable item

We will not substitute a materially different product without your approval.

6. Quotations

Quotations issued by DigiKart are valid only for the period stated in the quotation.

Unless otherwise stated, quotations are subject to:

  • Product availability

  • Final technical confirmation

  • Credit approval where applicable

  • Manufacturer or distributor price changes

  • Currency fluctuations

  • Delivery charges

  • Installation or configuration charges

  • Applicable VAT, customs charges, or government fees

A quotation does not reserve stock unless DigiKart confirms the reservation in writing.

A purchase order submitted in response to a quotation is subject to our review and acceptance. Additional or conflicting terms included in a customer purchase order will not apply unless DigiKart expressly agrees to them in writing.

7. Prices and VAT

Prices are displayed in United Arab Emirates dirhams unless otherwise stated.

Prices may include or exclude VAT depending on the information shown on the product page, quotation, cart, checkout, or invoice. Applicable VAT will be displayed or added as required.

Delivery, installation, configuration, insurance, customs, permits, duties, and other charges may be added where applicable.

We may change prices at any time before accepting an order. A price change will not affect an order that we have already accepted, except where:

  • The price displayed was clearly incorrect

  • A tax or government charge changed

  • The customer requested a change to the order

  • The quotation expressly allowed price adjustment

If an obvious pricing error occurs, we may cancel the affected order and refund any amount paid, or contact you to confirm whether you wish to proceed at the correct price.

8. Placing an Order

You are responsible for checking your order before submission, including:

  • Product name and model

  • Specifications and compatibility

  • Quantity

  • Billing information

  • Delivery address

  • Contact details

  • Purchase-order details

  • Any required installation or configuration services

Submitting an order does not automatically mean that we have accepted it.

An automated email or website message acknowledging receipt of your order is only an acknowledgement. A binding sale is formed when we expressly confirm acceptance, issue a final invoice, confirm the order in writing, or dispatch the products, whichever occurs first.

We may request further information or verification before accepting an order.

9. Order Refusal or Cancellation by DigiKart

We may refuse, place on hold, or cancel an order where:

  • The product is unavailable

  • The price or product information contains an obvious error

  • Payment is declined, reversed, or not received

  • Customer or delivery information cannot be verified

  • We suspect fraud or unauthorised activity

  • The order violates applicable law

  • Export, import, manufacturer, or distributor restrictions apply

  • The order cannot reasonably be fulfilled

  • The customer has breached these Terms or another agreement with us

Where we cancel an order after receiving payment, we will refund the amount paid for the cancelled products using an appropriate payment method, subject to applicable law.

10. Payments

Available payment methods will be displayed during checkout, stated in our quotation, or communicated by our team.

Depending on the transaction, payment may be accepted through:

  • Credit or debit card

  • Bank transfer

  • Approved online payment services

  • Cash on delivery, where offered

  • Approved business credit terms

  • Another payment method agreed in writing

You confirm that you are authorised to use the selected payment method.

Orders may not be processed or dispatched until cleared payment is received, unless DigiKart has approved credit terms in writing.

Customers paying by bank transfer must use the official bank details provided by DigiKart and include the correct invoice or quotation reference.

DigiKart is not responsible for payments sent to incorrect or fraudulent bank details that were not provided through our official communication channels. Customers should verify any unexpected request to change bank details before making payment.

11. Credit Terms for Business Customers

Credit facilities may be offered only after approval by DigiKart and may be subject to separate conditions.

Where credit terms are approved:

  • Payment must be made by the agreed due date

  • Credit limits must not be exceeded

  • DigiKart may suspend further deliveries if an amount becomes overdue

  • DigiKart may withdraw or revise credit terms

  • The customer remains responsible for authorised purchases made through its account

To the extent permitted by law, the customer may be responsible for reasonable costs incurred in recovering overdue amounts.

12. Delivery

We deliver to locations that we are able to service, subject to product availability, delivery-provider coverage, and any applicable restrictions.

Delivery charges and estimated delivery times may depend on:

  • Delivery location

  • Product size and weight

  • Stock location

  • Product availability

  • Courier or freight requirements

  • Building-access requirements

  • Installation requirements

  • Customs or regulatory procedures

  • Public holidays and operating schedules

Delivery dates and times are estimates unless expressly guaranteed in writing.

We will make reasonable efforts to meet estimated delivery dates, but delays may occur due to circumstances outside our reasonable control.

You are responsible for providing a complete and accessible delivery address, correct contact information, and any required access instructions.

Additional charges may apply where:

  • Delivery cannot be completed because no authorised person is available

  • The address is incorrect or incomplete

  • Special access, lifting, permits, or equipment are required

  • Redelivery is requested

  • Storage becomes necessary due to customer delay

13. Delivery Inspection

You or your authorised representative should inspect the products when they are delivered or collected.

Visible damage, missing items, incorrect products, or quantity differences should be reported promptly and recorded on the delivery document where possible.

Please retain:

  • The original packaging

  • Product accessories

  • Serial-number labels

  • Delivery documents

  • Photographs of visible damage

  • Your invoice or proof of purchase

Signing a delivery document confirms receipt but does not remove any rights you may have regarding hidden defects, incorrect goods, warranty claims, or rights that cannot legally be excluded.

14. Collection Orders

Where collection is available, we will notify you when the order is ready.

The person collecting an order may be required to provide:

  • Order confirmation

  • Valid identification

  • Company authorisation

  • Proof of payment

  • A purchase-order reference

Products must be collected within the agreed period. Storage or restocking charges may apply to uncollected B2B orders where disclosed and permitted by law.

15. Risk and Ownership

Risk of loss or damage generally passes to the customer when:

  • The products are delivered to the customer or its authorised representative

  • The products are collected by the customer

  • The products are handed to a carrier arranged by the customer

Where permitted by law, ownership of products remains with DigiKart until full payment of all amounts due for those products has been received.

The customer must not resell, pledge, alter, or dispose of unpaid products in a manner that interferes with DigiKart’s ownership rights.

Mandatory legal rights relating to risk and ownership will continue to apply.

16. Customer Cancellations

Contact us as soon as possible if you wish to cancel or change an order.

An order may be cancelled without charge before it has been processed, ordered from a supplier, configured, customised, activated, licensed, or dispatched, subject to our approval and applicable law.

Cancellation may not be possible for:

  • Special-order products

  • Custom-configured products

  • Products ordered specifically for the customer

  • Opened software or activated licences

  • Digital products or licence keys

  • Personalised or engraved products

  • Products already dispatched

  • Installation or configuration work already completed

  • Clearance products where clearly disclosed

  • Other products excluded under applicable law

For B2B orders, cancellation or restocking charges may apply if disclosed in the quotation, invoice, product listing, or written agreement.

Nothing in this section limits mandatory consumer cancellation rights that apply under UAE law.

17. Returns and Refunds

Returns and refunds are governed by our separate Return and Refund Policy, which forms part of these Terms and Conditions.

To request a return, contact us at info@digikart.ae and provide:

  • Your name or company name

  • Invoice or order number

  • Product name and model

  • Serial number where applicable

  • Reason for the return

  • Photographs or videos where relevant

  • Details of any fault or damage

Products returned without approval may not be accepted.

Returned products should include the original packaging, accessories, manuals, cables, promotional items, licences, and other supplied materials, unless the return relates to a defect that makes this unreasonable.

Refunds, replacements, repairs, store credit, inspection charges, collection costs, and restocking charges will be handled in accordance with our published policy, the product condition, the transaction type, and applicable law.

Your mandatory legal rights regarding defective, misdescribed, unsafe, or incorrectly supplied products are not affected.

18. Product Warranties

Products may be covered by:

  • A manufacturer warranty

  • A distributor warranty

  • A DigiKart warranty

  • A warranty stated in the quotation or product listing

  • Mandatory legal warranty rights

Warranty duration and coverage vary by product, brand, model, and supplier.

A warranty claim may require:

  • Proof of purchase

  • Product serial number

  • Fault description

  • Diagnostic information

  • Original accessories

  • Inspection by DigiKart, the distributor, or manufacturer

  • Return of the product to an authorised service location

Unless prohibited by law, warranty coverage may not apply to damage caused by:

  • Accident, misuse, neglect, or abuse

  • Incorrect installation

  • Unauthorised repair or modification

  • Power surges or unsuitable electrical supply

  • Liquid, fire, heat, dust, or environmental exposure

  • Physical or cosmetic damage

  • Use outside the manufacturer’s specifications

  • Failure to install updates or follow instructions

  • Normal wear and tear

  • Consumable components

  • Removed or altered serial numbers

  • Third-party accessories or incompatible equipment

DigiKart will honour applicable warranty and after-sales obligations. The available remedy may include inspection, repair, replacement, refund, or referral to an authorised service centre, depending on the circumstances and applicable law.

19. Installation and Technical Services

Installation, configuration, integration, training, or technical support is included only when expressly stated in the product listing, quotation, invoice, or written agreement.

The customer is responsible for ensuring that the site is ready for installation, including:

  • Suitable electrical supply

  • Network connectivity

  • Required cables and ports

  • Safe access

  • Necessary permissions

  • Compatible hardware and software

  • Appropriate room and mounting conditions

  • Availability of authorised personnel

Additional charges may apply if work is delayed or cannot be completed because the site is not ready, information is missing, access is unavailable, or additional work is required.

Recommendations provided by DigiKart are based on the information supplied by the customer. We are not responsible for incompatibility caused by incomplete, inaccurate, or undisclosed customer requirements.

20. Software, Licences and Digital Products

Software, subscriptions, cloud services, licence keys, and digital products may be subject to separate terms issued by the manufacturer, publisher, or service provider.

By purchasing or activating such products, you may be required to accept the provider’s licence agreement, privacy policy, subscription conditions, usage limits, renewal terms, and support conditions.

Digital licences may become non-returnable once issued, delivered, registered, downloaded, or activated, except where required by law or where the licence is defective.

You are responsible for confirming:

  • Device compatibility

  • Region compatibility

  • Licence duration

  • Number of permitted users or devices

  • Renewal requirements

  • System requirements

  • Transfer restrictions

21. Resale and Export Compliance

Business customers purchasing products for resale, export, or use outside the UAE are responsible for complying with all applicable:

  • Import and export requirements

  • Customs requirements

  • Product registration rules

  • Telecommunications approvals

  • Sanctions and trade restrictions

  • Manufacturer territorial restrictions

  • Local electrical and technical standards

  • Tax and licensing obligations

DigiKart may refuse an order where fulfilling it may breach applicable law, supplier restrictions, or regulatory requirements.

22. Acceptable Use of the Website

You must not use the website to:

  • Commit or facilitate unlawful activity

  • Submit false, misleading, or fraudulent information

  • Interfere with the website’s operation or security

  • Introduce viruses, malware, or harmful code

26. Website Availability

For business customers, and to the maximum extent permitted by law, DigiKart’s total liability arising from a product, order, or service will generally not exceed the amount paid for the affected product or service.

DigiKart is not responsible for loss caused by:

  • Customer misuse or failure to follow instructions

  • Incompatible third-party equipment or software

  • Unauthorised modifications or repairs

  • Incorrect information provided by the customer

  • Manufacturer or third-party service interruptions

  • Data loss where the customer failed to maintain appropriate backups

  • Delays outside our reasonable control

Customers should maintain appropriate backups before submitting devices for repair, configuration, replacement, or technical service.

28. Indemnity for Business Customers

To the extent permitted by law, a business customer agrees to compensate DigiKart for reasonable losses, claims, liabilities, and expenses arising directly from:

  • Its unlawful use of the website or products

  • Its breach of these Terms

  • False information supplied to DigiKart

  • Its infringement of third-party rights

  • Unauthorised resale, export, installation, or modification of products

This section does not apply to the extent that a loss was caused by DigiKart’s own breach, negligence, or unlawful conduct.

29. Force Majeure

DigiKart will not be responsible for delays or failure to perform caused by circumstances outside our reasonable control, including:

  • Natural disasters

  • Severe weather

  • Fire or flooding

  • War, civil disturbance, or terrorism

  • Epidemics or public-health restrictions

  • Government action

  • Import or export restrictions

  • Customs delays

  • Labour disputes

  • Power or telecommunications failures

  • Cybersecurity incidents

  • Transport disruption

  • Manufacturer or supplier failure

  • Shortages of products or components

We will make reasonable efforts to minimise the impact and communicate material delays.

30. Privacy

31. Electronic Communications

The remaining provisions will continue in effect.

34. No Waiver

If DigiKart does not immediately enforce a right or provision under these Terms, this does not mean that the right or provision has been waived.

Any waiver must be confirmed in writing.

35. Assignment

You may not transfer your rights or obligations under these Terms without our prior written approval.

DigiKart may transfer its rights or obligations as part of a business transfer, restructuring, merger, financing, or sale, subject to applicable law and without reducing mandatory customer rights.

36. Entire Agreement

These Terms, together with any applicable:

  • Privacy Policy

  • Return and Refund Policy

  • Shipping Policy

  • Warranty terms

  • Product listing

  • Accepted quotation

  • Invoice

  • Written commercial agreement

form the agreement between you and DigiKart regarding the relevant website use or transaction.

37. Governing Law and Jurisdiction

These Terms and any transaction with DigiKart are governed by the applicable laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai.

Subject to any mandatory consumer rights or jurisdictional rules, the courts of Dubai will have jurisdiction over disputes arising from these Terms or a transaction with DigiKart.

Before starting formal proceedings, both parties should attempt to resolve the dispute through good-faith communication.
